By accessing this site, you indicate your agreement to the terms and conditions of this Agreement. Fidelity may modify these terms at any time and without prior notice. These Terms are in addition to any other agreements between you and Fidelity, including any customer or account agreements, and any other agreements that govern your use of products, services, content, tools, and information available on this site.

You agree and acknowledge that the CUSIP Database is and shall remain valuable intellectual property owned by, or licensed to, CUSIP Service Bureau, Standard & Poor's ("CSB") and the American Bankers Association ("ABA"), and that no proprietary rights are being transferred to you by virtue of the availability of the CUSIP Database contained in the site. Any use by you outside of the clearing and settlement of transactions requires a license from the CSB, along with an associated fee based on usage. Specifically, you shall not publish or distribute in any medium the CUSIP Database or any information contained therein to any person or entity except in connection with the normal clearing and settlement of security transactions. You further agree that the use of CUSIP numbers and descriptions is not intended to create or maintain, and does not serve the purpose of the creation or maintenance of, a master file or database of CUSIP descriptions or numbers for itself or any third party recipient of such service and is not intended to create and does not serve in any way as a substitute for the services provided by CSB. Neither CSB, ABA nor any of their affiliates make any warranties, express or implied, as to the accuracy, adequacy or completeness of any of the CUSIP Database contained in the site, including, without limitation, any warranties of merchantability or fitness for a particular purpose or use. In no event shall the CSB, ABA or any of their affiliates pursuant to any cause of action have any liability for any errors or omissions in the CUSIP Database nor shall they be liable for any damages, whether direct or indirect, special or consequential resulting therefrom.

Fidelity does not warrant that this site will meet your needs, or that it will be uninterrupted, timely, secure or error-free. Fidelity also makes no warranty that the results obtained from the use of this site will be accurate or reliable, or that the quality of any products, services, information, or other material purchased or obtained by you through this site will meet your expectations.

8. Fidelity will not be liable to you or anyone else for any consequential, incidental, special or indirect damages (including but not limited to lost profits, trading losses or damages that result from use or loss of use of this site and third party content, inconvenience or delay). This is true even if Fidelity has been advised of the possibility of such damages or losses. Fidelity will not be liable to you or anyone else for any loss resulting from a cause over which such Fidelity does not have direct control. This includes failure of electronic or mechanical equipment or communications lines (including telephone, cable and internet), unauthorized access, viruses, theft, operator errors, severe or extraordinary weather (including flood, earthquake, or other act of God), fire, war, insurrection, terrorist act, riot, labor dispute and other labor problems, accident, emergency or action of government.

As a condition of your use of this site, you agree to indemnify and hold Fidelity and its third party providers harmless from and against any and all claims, losses, liability, costs and expenses (including but not limited to attorneys' fees) arising from your use of this site, or from your violation of these Terms.

12. Unless otherwise agreed, these Terms and their enforcement are governed by the laws of the Commonwealth of Massachusetts, without regard to conflicts of law, and shall inure to the benefit of Fidelity's successors and assigns, whether by merger, consolidation, or otherwise.

13. If a court of competent jurisdiction deems any provision unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
